Pyxis Pro Terms and Conditions

**Effective Date: June 1, 2025**

These Terms of Service (“Terms”) govern your access to and use of www.pyxispro.com (the “Site”) and the Pyxis Pro learning management platform (collectively, the “Platform”). The Platform is owned and operated by Pyxis LLC (“Pyxis,” “we,” “our,” or “us”). By using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.

1. Overview

Pyxis Pro is a subscription-based learning management system (LMS) designed for veterinary practices. These Terms apply to both the informational website and the web-based application, including all content, services, and features.

2. Eligibility and Account Registration

  • Access to the Platform is provided to veterinary practices (“Clients”) who subscribe to a service plan.
  • Clients designate authorized users under their account (e.g., administrators, team members). Each user must agree to abide by these Terms.

3. Subscriptions and Payment

  • Clients purchase access through a subscription plan, with pricing based on the number of user licenses.
  • Payments are processed securely via Stripe.
  • Subscription fees are billed in advance and are non-refundable unless otherwise specified in writing.
  • Clients are responsible for keeping billing information current.
  • Pyxis reserves the right to update pricing or plan structures with notice to Clients.

4. Use of the Platform

Users are granted a limited, non-exclusive, non-transferable right to access and use the Platform for internal business purposes.

You may not:

  • Reverse engineer, decompile, or otherwise attempt to derive source code
  • Reproduce, sell, or distribute any portion of the Platform
  • Circumvent or interfere with security features or access restrictions
  • Use bots, scripts, or other automated methods to access the Platform, or attempt to disrupt, overload, or harm our infrastructure

5. Content Ownership and Licensing

5.1 Client-Uploaded Content

  • Clients retain ownership of all content they upload (e.g., custom training, onboarding materials).
  • By uploading, Clients grant Pyxis a limited right to host and display this content to their authorized users.

5.2 Pyxis-Supplied Content

  • All Pyxis-created training materials and media are owned by Pyxis.
  • Clients are granted a non-exclusive, non-transferable license to use this content during their active subscription.
  • Clients may not download, redistribute, or reuse this content outside of the Platform.
  • Pyxis is not responsible for the accuracy, safety, or legality of any of the content it supplies. Users must act within their local laws when using the content provided.
  • Pyxis may from time to time add free-to-use third-party content to its modules in an effort to make accessing such data more convenient. However, Pyxis is not responsible for that third-party content, even if Pyxis is the one that posts it.
  • Pyxis does not profit from third-party content that it posts for convenience purposes. This is separate from third-party content posted directly by third-party providers, in which case Pyxis may charge a small access fee.
  • OSHA-related content supplied by Pyxis is provided free of charge and is for general reference only. It is not intended to serve as official OSHA certification training. Pyxis cannot guarantee that its OSHA content will be updated to reflect changes to OSHA standards. Users are responsible for confirming compliance with applicable regulations.

5.3 Third-Party Content (Future Use)

  • Pyxis may make third-party content available in the future.
  • Access to such content is governed by the applicable license terms from the third-party provider.
  • Ownership remains with the respective provider.
  • Where applicable, Clients may license third-party content on a per-module or per-user basis.
  • Pyxis does not guarantee continued availability of any third-party content.

We may suspend or terminate access to the Platform if:

  • The Client breaches these Terms or fails to pay subscription fees
  • A user engages in illegal activity, harassment, or gross misuse
  • Required by law or regulatory order

Clients may terminate their subscription per the terms of their selected plan.

7. Privacy and Data Use

  • We collect limited personal information to operate the Platform and provide services.
  • Clients and users are responsible for complying with applicable privacy laws related to their data.

  • We do not sell personal data to third parties.
  • For more details, see our Privacy Policy.

8. Intellectual Property

  • All trademarks, logos, designs, and software on the Platform remain the property of Pyxis or its licensors.
  • Except for Client-uploaded content, nothing in these Terms transfers any ownership to users.

9. Disclaimers and Limitation of Liability

  • The Platform is provided “as is” and “as available.”
  • We do not guarantee uninterrupted or error-free service.
  • To the maximum extent allowed by law, Pyxis disclaims all warranties and is not liable for indirect, incidental, or consequential damages.
  • Pyxis will make commercially reasonable efforts to ensure Platform uptime and availability but does not guarantee uninterrupted access.
